DUBSPOT VintageSub DESKTOP LICENCE AGREEMENT Version 1.0, 5 November 2026 This agreement is between the purchaser or trial user (you) and Resonate Tech, Inc., a Delaware corporation trading as Dubspot (we). Contact: admin@dubspot.com. Our address is 561 N Broad St, Suite 206, Middletown, DE 19709, United States. By installing or using VintageSub, you agree to these terms. If you do not agree, do not use it; contact your seller about cancelling the purchase. Nothing in this agreement takes away rights that applicable law does not allow us to exclude. 1. YOUR LICENCE A paid licence permits perpetual use of the purchased VintageSub desktop version on up to three computers under your control. AU, VST3 and AAX Native share the same licence; using several included formats on one computer uses one activation. The licence may belong to an individual or a company. A company may let its employees use its activated computers for that company's work. It may not use one licence to supply copies to unrelated customers or studios. There is no subscription charge for VintageSub. You may use the software for personal or commercial music production, and you owe us no royalties on your recordings. Your music, recordings and sessions remain yours. The software is licensed, not sold, and the licence is non-exclusive. 2. TRIAL The trial provides full audio functionality for 14 days, starting when you choose Start 14-day trial in your Dubspot account. There is no automatic charge. Reinstalling, deactivating a computer or creating another account does not grant another trial on that computer. When a trial expires, an already authorised running instance continues until it is closed. New instances are silent until you import a valid licence. 3. ACTIVATION AND OFFLINE USE Use your Dubspot account to activate a computer and download its signed licence file. Import that file into VintageSub. You can use another connected device to activate an offline studio computer. Once activated, paid VintageSub processing does not require an internet connection or periodic online check. You may move an activation to a replacement computer. Deactivate the old computer in your account, stop using VintageSub there and remove its licence file. Deactivation frees a slot; it cannot erase a perpetual offline file remotely. Contact admin@dubspot.com if a lost or damaged computer prevents recovery. Keep a backup of your installer and licence files. Existing paid offline files continue to work if our activation service is temporarily unavailable; new activations need the service or assistance from Dubspot. 4. COPIES, SHARING AND TRANSFERS You may make backup copies for your own use. Do not share your account or licence files, distribute unauthorised copies, rent out the software, or bypass the activation or trial limits. Do not modify or reverse engineer protected software except to the extent applicable law expressly permits it. Contact us before transferring a licence to a different owner so we can verify the purchase and move its account entitlement. Transferring a licence requires the previous owner to stop using it and remove all installed copies and computer licence files. Mandatory rights concerning resale are unaffected. 5. UPDATES AND COMPATIBILITY Your purchase includes VintageSub 1.x updates that we release. Future major versions, other platforms and mobile editions may be sold separately. We do not promise compatibility with every future operating system or host. The product page and manual describe the current formats and requirements. Save important sessions before updating and keep the last working installer. 6. SUPPORT AND REFUNDS Contact admin@dubspot.com for installation, activation and product support. Include your order number, VintageSub version, operating system and host version. Do not send your password. We do not promise a fixed response time. For VintageSub purchases made directly from Dubspot, you may request a full refund within 14 days after purchase by emailing admin@dubspot.com with your order number. For retailer purchases, contact that retailer. A refund ends the paid licence: stop using VintageSub and remove its installed copies and licence files. Refunds stop future licence issuance but cannot remotely erase offline files. This policy is additional to any mandatory cancellation, repair, replacement or refund rights you have under applicable law. 7. OWNERSHIP AND THIRD-PARTY COMPONENTS Dubspot and its licensors retain their rights in the software and artwork. Third-party notices supplied with VintageSub identify the components and terms that apply to them. This agreement does not restrict rights granted by those terms. 8. WARRANTY AND RESPONSIBILITY We provide VintageSub with reasonable care, but cannot guarantee uninterrupted or error-free operation in every system configuration. Keep independent backups of valuable audio and sessions. We do not exclude liability for fraud, wilful misconduct, or any liability that applicable law does not permit us to exclude. Your mandatory consumer rights, including remedies for defective digital content, remain in force. 9. ENDING THE LICENCE AND CHANGES If you materially breach this agreement, we may end your licence after giving you written notice and 30 days to remedy the breach, where it can be remedied. When a licence ends, stop using VintageSub and remove its copies and licence files. Ending a licence does not transfer ownership of your recordings to us. Later changes to our terms do not retrospectively reduce the rights granted for a paid version under this agreement. 10. APPLICABLE LAW AND CONTACT Delaware law governs this agreement, except where mandatory local law provides otherwise. This does not deprive consumers of protections or access to courts available in their country of residence. If one provision is unenforceable, the remainder applies to the extent permitted by law.
